GENERAL SUMMARY

The Legal & Compliance Counsel will assist the Legal & Compliance Director in all compliance and legal matters, with at least 60% of the work in compliance including operational matters, documentation and training. This counsel will also work on legal matters including contract review, legal research and occasionally working with external counsel on arbitration and litigation matters.

POSITION RESPONSIBILITIES

1. Assist in developing and implementing policies and procedures designed to ensure full compliance with legal, regulatory and contractual requirements.
2. Develop, distribute and/or deliver effective training and communications in support of the Compliance Program, including language localizations as appropriate.
3. Review marketing activities from the legal and compliance perspective.
4. Monitor the conduct of employees through the use of periodic audits, reviews and /or evaluations.
5. Collaborate closely with internal stakeholders- BU, HR, Internal Audit, Finance, Commercial and Supply Chain to identify, mitigate and resolve compliance and legal matters.
6. Conduct due diligence on distributors, agents and other Third Party Intermediaries consistent with the various Anticorruption regulations including the FCPA.
7. Conduct compliance and ethics related investigations, inspections and audits.  Follow up on compliance and ethics related investigations to ensure recommendations have been appropriately and timely implemented.
8. Implementation of enhanced compliance controls, and ongoing oversight of third party compliance controls.
9. Review and negotiate commercial contracts.
10. Draft contracts, legal documents, policies and procedures.
11. Work with external counsel on arbitration and litigation.
12. Performs other related duties as assigned or required.


QUALIFICATIONS

1. Degree in law from accredited school.
2. China Bar qualification.
3. Fluency and proficiency in English and Mandarin.
4. 3 years of legal, corporate compliance or similar experience in China with a law firm or a multinational organization.
5. Familiarity with anti-corruption compliance laws and controls.
6. Certification or advance degree a plus.

3. Strong time management and document management skills with a fine attention to detail.
4. Ability to communicate clearly and effectively at all levels of the company, both orally and in writing is essential for this role.
